1. Acceptance of Terms
By accessing or using Cloverly CRM ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
Cloverly Inc. ("Cloverly", "we", "us", or "our") reserves the right to update and change these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
2. Account Registration & Security
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.
3. Service Description & Acceptable Use
Cloverly CRM is a cloud-based customer relationship management platform designed to help sales teams manage leads, track communications, schedule meetings, generate quotations and invoices, and record expenses.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
• In any way that violates any applicable national, federal, state, local, or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
• To impersonate or attempt to impersonate Cloverly, a Cloverly employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm Cloverly or users of the Service or expose them to liability.
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
4. Subscriptions, Trials & Billing
Cloverly offers a 14-day free trial on all paid plans. No credit card is required to start a trial. At the end of the trial period, you may choose to subscribe to a paid plan or your account will revert to limited functionality.
Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are exclusive of taxes, which may be applied in accordance with your jurisdiction.
You may cancel your subscription at any time from your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds will be provided for partial months.
Cloverly reserves the right to change subscription fees upon notice to you. Fee changes will take effect at the start of the next billing cycle following the notice.
5. Data Ownership & Privacy
You retain all rights to the data, content, and information you submit, upload, or store within the Service ("Your Data"). Cloverly does not claim ownership over Your Data.
By using the Service, you grant Cloverly a limited license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service.
Cloverly implements industry-standard security measures to protect Your Data, including encryption in transit and at rest, regular security audits, and access controls. For detailed information about how we handle your data, please review our Privacy Policy.
You are responsible for ensuring that Your Data does not violate any third-party rights, including intellectual property rights, privacy rights, or contractual obligations.
6. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription from your account settings.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
